Licensor: Dispatch 2800 LLC
Licensee: The individual or entity who books and/or pays for the use of the Podcast Room (“Licensee”), regardless of whether the Licensee is present during the use of the Premises.
The Licensor hereby grants the Licensee a limited, non-exclusive, revocable license to use the Podcast Room located at: 2800 1st Avenue, Suite 119, Seattle, WA 98121 ("Premises") for the purpose of podcast recording and related activities.
This license shall commence on the date and time of the booking and terminate at the end of the booking time, unless otherwise terminated earlier pursuant to Section 10. Licensee understands that set up and breakdown is included in the booking time and early access or extended access is not guaranteed and Licensee will be responsible for any additional booking time not accounted for in the booking.
Licensee agrees to pay Licensor the following as outlined under the booking platform:
a. The hourly room rate
b. The hourly service support rate, if any
c. 3rd Party Processing Fee, if any
In all cases, payment is due in advance of the use of the Premises.
Cancellations must be made at least 48 hours in advance. Late cancellations or no-shows are non-refundable.
The Licensee agrees:
a. To use the Premises solely for lawful podcast-related activities.
b. Not to damage the Premises or equipment.
c. Not to allow unauthorized persons access to the Premises.
d. To comply with all laws, rules, and building policies.
Licensee has selected the Room Schematic in advance of the booking. Same-day (day-of) schematic change requests made by the Licensee will incur a $50 fee, which will be charged to the Licensee’s account.
The following equipment is included in the use of the Premises:
a. 3 – Sony alpha ZV-E10 Interchangeable Lens Mirrorless Vlog Camera Kit
b. 2 – Sony 55mm F1.8
c. 3 – Ultra High Camera Tripods
d. 4 – Wired Over Ear Headphones
e. 1 - Softbox Lighting Kit
f. 4 – Rode PodMic Microphones
g. 1 – Zoom PodTrak Recorder
h. 4 – Boom Arm Floor Mic Stand
i. 1 – 3-Pack and 1-Triple Slot Battery Charger
j. 1 – 55 Inch Mirror Television
Licensee shall be responsible for the cost of repair or replacement of any equipment damaged during use.
While a standard list of podcast equipment is provided for reference, this list is not comprehensive, and podcast equipment is subject to change based on availability.
Licensee agrees to maintain a respectful and professional environment. Excessive noise, disruptive behavior, nudity, sexually explicit behavior, or any inappropriate content is strictly prohibited in the Premises or Building. All individuals using the Premises are expected to adhere to community standards and always conduct themselves with decorum.
Except as provided herein, Licensor is providing the Premises to the Licensee "as is," and Licensor disclaims any and all other representations and warranties with respect to the Premises or Building, whether express or implied, including implied warranties of title, merchantability, fitness for a particular purpose or non-infringement. Licensor cannot and does not guarantee and does not promise to Licensee, any specific results from use of the Premises or Building. Licensor does not represent or warrant that the Premises or Building will meet Licensee’s requirements; that the Premises or Building meets applicable legal standards or is safe and suitable for Licensee’s
Licensee assumes all risk associated with the use of the Premises. Licensor shall not be liable for any loss, damage, or injury to persons or property arising out of the Licensee’s use of the Premises.
Licensee shall indemnify and hold harmless the Licensor and its affiliates from any and all claims, losses, or liabilities arising out of or in connection with Licensee’s use of the Premises.
This Agreement may be terminated immediately by Licensor if Licensee breaches any term of this Agreement.
This document constitutes the entire agreement between the parties. Any amendments must be in writing and signed by both parties.
By submitting payment for use of the podcast room, the Licensee acknowledges that they have read, understood, and agreed to the terms of this License Agreement. Payment constitutes acceptance of all terms, even if a separate signature is not provided.
This Agreement shall be governed by the laws of the State of Washington.
By way of making payment for the booking, Licensee acknowledges and agrees to the terms and conditions of this License Agreement.
